As part of our rigorous due diligence process, we require the following documents to be submitted for account opening purposes.
Companies (Private Companies)
- Original or certified true copy of Certificate of Incorporation
- Certificate of current standing
- Memorandum and Articles of Association (Letter of no constitution/memorandum)
- Register and consent of Directors and shareholders
- Resolution authorizing the opening of investment accounts, authority to operate the accounts
- Business Registration Card
- Copy of License if dealing in financial products
- KYC of Directors and major Shareholders
- Letter disclosing the Ultimate Beneficial Owner
Companies (Global Business Companies)
- Original or certified copy of certificate of Incorporation
- Certificate of current standing
- Financial Services Commission licence or Updated renewal fee receipt
- Letter of no Memorandum or constitution of the company
- Register and consent of Directors
- Register of shareholders
- Letter notifying the ultimate beneficial owners
- Fax indemnity letter
- KYC of major shareholders
- KYC of Directors
- Resolution to open investment accounts and persons authorized to operate the accounts
- KYC of authorized persons
- Registered address of the company
- Place of business
- Copy of annual reports and accounts (audited where applicable)
- Eligible Introducer certificate from Management Company
Foreign Companies (Companies located outside Mauritius)
- Check on jurisdiction of the company and in sanction list (UN/OFAC/EU/SC)
- Apostilled certificate of Incorporation
- List of directors and shareholders
- Apostilled KYC of Directors and major shareholders or certified true copy by Lawyer/solicitor or Embassy
- Letter notifying the ultimate beneficial owner of the company
- Certificate of good standing of the company
- Resolution to open investment account
- List of authorized persons to operate accounts
- Referrer or introducer details
- Letter of no memorandum or constitution of the company
Trust Accounts
- Certified copy or Extract of trust deed
- KYC of settlor
- KYC of Protector
- KYC of Enforcer (where applicable)
- KYC of Beneficiaries. In case of discretionary trust, letter of undertaking to disclose beneficiaries when there will be distribution.
- KYC Trustees
Accounts of Société
- Original or certified copy of Acte de société in case of Mauritian sociétés
- In case of foreign sociétés, obtain a certificate of good standing
- KYC of Principals, Administrators and Gérants
- Brief declaration on the dealings of the Société
Important Note
- P.O box address is not acceptable.
- All copies of documents need to be certified true copy.
- Staff obtaining copies of documents from clients must also obtain initial of clients in the copy.
- Documents in foreign language need to be translated. The translated details and contact number shall exist in the translated documents.
- For reportable FATCA clients, Excel must be filled with required details.
- For foreign directors/shareholders, Ultimate Beneficial owners CV and Bank reference or other Financial Intermediaries reference is advisable.
- The above list of documents is not exhaustive and additional documents may be requested from the Applicant.
- Applicant may call personally at SBM Mauritius Asset Mauritius Ltd with the stipulated original documents and our officers will certify the copies accordingly.
Failure to comply with these instructions
Your application may be rejected if relevant instructions are not complied with and if the required documents are not submitted together with your application form in respect of the issue.
