BANKING REGULATIONS: APPLICATION FOR CHARTER
Overview
Commonwealth banks seeking to operate in the region must comply with a set of strict guidelines outlined in the CNMI Banking Code. This article applies only to Commonwealth banks, which are defined as banks chartered by the government.
Charter and Licenses
In order to exercise its powers and conduct business, a Commonwealth bank must have a charter and licenses issued by the director, as outlined in Section 6202, “General Corporate Powers.” The charter grants the bank the power to:
- Sue and be sued
- Continue perpetually as a corporation
- Make its own bylaws
Capital Structure
According to Section 6203, “Capital Structure,” a Commonwealth bank is required to have paid-in-cash capital of at least $500,000. This ensures that the bank has sufficient funds to operate and meet its financial obligations.
Board of Directors
The CNMI Banking Code outlines the powers of a bank’s board of directors in Section 6214, “Directors and Officers.” The board may:
- Elect or appoint officers and agents of the bank
- Define their duties and fix their compensation
- Adopt and operate reasonable bonus and pension plans for officers and employees
Trust Powers
A Commonwealth bank authorized to exercise trust powers can act as a fiduciary in various capacities, including:
- Registrar or transfer agent
- Fiscal agent
- Attorney-act-in-fact
- Receive, manage, and apply sinking funds
Applying for a Charter
Any Commonwealth bank desiring to engage in the business of banking in the region must make an application for its charter and licenses to the director pursuant to this chapter, as outlined in Section 6202(d). The application must be accompanied by a statement detailing:
- The bank’s capital structure
- Management structure
- Plans for operation
Conclusion
The CNMI Banking Code is designed to ensure that Commonwealth banks operate in a safe and sound manner, while also providing for the needs of the local community. By following these guidelines, banks can establish themselves as reputable financial institutions and contribute to the economic development of the region.
