JGS Implements Code of Business Conduct to Ensure Integrity and Ethics

In its commitment to upholding the highest standards of integrity and ethics, JGS has implemented a comprehensive Code of Business Conduct (Code of Conduct) for all directors, officers, and employees.

Orientation and Continuing Education

As part of this initiative, management and key officers receive an orientation on their duties and responsibilities when they are first appointed to the company. This ensures that incoming executives are familiar with the company’s business and governance processes.

The code also requires mandatory continuing education for all directors and key officers. Every year, they must attend a training program focused on corporate governance (CG) and relevant topics such as:

  • Audit
  • Internal controls
  • Risk management
  • Sustainability
  • Strategy

Compliance and Training

The company’s General Counsel Group (GCG)-Compliance is responsible for ensuring that the board and key officers comply with the orientation and mandatory continuing education requirements. GCG-Compliance also coordinates with subsidiaries to ensure they have opportunities to attend training programs conducted by the parent company.

To further promote integrity and ethics, JGS has established an annual anti-bribery and anti-corruption training program for all employees.

Annual Anti-Bribery and Anti-Corruption Training Program

The code of conduct sets out the ethical and behavioral standards expected of directors, officers, and employees. These standards are disseminated through trainings and advisories to embed them in the company culture.

Integrity and Ethics Council (IECON) Secretariat

GCG-Compliance is responsible for managing an annual iSpeak System, a digital platform where employees can securely share feedback, air complaints, and report non-adherence to company values and policies. The system is accessible via the Employee Service Portal and the company website.

The Integrity and Ethics Council (IECON) Secretariat, composed of Corporate Human Resources, Corporate Internal Audit, and the General Counsel Group, processes complaints, conducts investigations, and provides reports on the results. GCG-Compliance manages the complaints received from various channels, providing a report as necessary to IECON and assisting in investigation and resolution.

Commitment to Integrity and Ethics

JGS’s commitment to integrity and ethics is evident in its periodic review and update of relevant policies, including:

  • Code of Conduct
  • Anti-Bribery and Anti-Corruption Policy
  • Board Diversity Policy
  • Others

The company also accepts referrals for regulatory concerns not related to CG, which are handled by GCG-Compliance.

Conclusion

The implementation of the Code of Business Conduct is a critical component of JGS’s efforts to maintain its reputation as a responsible and ethical organization. By fostering a culture of integrity and ethics, the company aims to ensure long-term success and sustainability.
