Financial Reporting Requirements in Sweden

Sweden has adopted IFRS Standards as adopted by the EU for consolidated financial statements of all companies whose securities trade in a regulated market. For a fuller description of Swedish reporting requirements, refer to the Sweden Jurisdictional Profile.

Financial Reporting Obligations

Filing with Bolagsverket

Financial reports must be filed with the Swedish Companies Registration Office (Bolagsverket) within seven months of the fiscal year end. Annual reports are usually filed in physical format and are publicly available.

Listed Companies

  • Publicly release their annual report within four months of the fiscal year end
  • Submit it to the Exchange for surveillance at the same time
  • Make interim financial information publicly available within two months of the end of the reporting period, submitted to the Exchange for surveillance along with a press release that includes the interim report

General Electronic Filing Requirements

Electronic filing is not permitted for general companies. However, Bolagsverket has initiated a feasibility study on submitting annual reports in a structured electronic format, targeting SMEs that file annual reports under national legislation where IFRS Standards are not suitable.

XBRL and XML Format for Listed Companies

Listed companies can submit their financial reports electronically in XBRL or XML format. However, some companies may still be required to submit a physical copy of the report to Bolagsverket.

XBRL and IFRS Taxonomy Adoption

Sweden has adopted the IFRS taxonomy for XBRL filings. The Swedish Financial Reporting Board (RFR) is responsible for developing standards for separate financial statements, including additional disclosures specific to the Swedish environment. However, there are no plans to implement the IFRS for SMEs filing in the future.
